Dalam Perjanjian Jual Beli Batu Besi ini bertindak dalam jabatannya untuk dan atas nama ………………………. selanjutnya disebut sebagai PIHAK KEDUA.
Pihak Pertama dan Pihak Kedua (selanjutnya secara bersama-sama disebut Para Pihak dengan ini menerangkan dan menyatakan terlebih dahulu, sebagai berikut:
1. Pihak Kedua adalah Perusahaan yang sanggup membeli batu besi dari Pihak Pertama sesuai dengan batu besi yang ada di lapangan CV. SUMBER MINERAL ASIA
2. Pihak Pertama adalah Perusahaan yang bergerak dalam bidang Kontraktor tambang Batu Besi yang berada di KP. …………………………………………………………………..
Bahwa sehubungan dengan hal-hal tersebut diatas, maka para pihak sepakat untuk saling mengikatkan diri satu dengan yang lainnya untuk membuat kontrak jual beli batu besi dengan ketentuan dan syarat-syarat sebagai berikut :
Pasal 1
Maksud dan Tujuan
Pihak Pertama bersedia dan sanggup menjual batu besi hasil produksi di lapangan kepada Pihak Kedua sebagaimana Pihak Kedua bersedia dan sanggup untuk membeli batu besi hasil produksi dari CV.SUMBER MINERAL ASIA
Pasal 2
Kuantitas, Kualitas dan Harga
Kuantitas, Kualitas dan harga batu besi yang telah disepakati dan dapat diterima oleh Pihak Kedua adalah sebagai berikut :
Spesifikasi Chemical (on dry basis) ;
Fe : 61% basis/max, penolakan untuk Fe di bawah 60%.
Size fisik, ukuran : 0 s/d 5 cm.
· Masa Kontrak : dimulai pada tanggal ….. Juni 2011 .
· Asal Batu Besi : Provensi Kalimantan Selatan
· Volume : 50.000,- MT.
· Harga : 810.000IDR/MT FOB Mother Vessel.
· Stockpile : ……………….
· Rencana Loading : Estimasi ….. hari.
Dengan catatan, bahwa Kuantitas dan Kualitas Batu Besi tersebut diatas telah dianalisa oleh Surveyor Independen (SGS) yang telah ditunjuk dan disepakati oleh para pihak.
Pasal 3
Penentuan Kualitas dan Kuantitas
· Penentuan jumlah kualitas batu besi disepakati Para Pihak adalah dari hasil rekapitulasi timbangan di stockpile yang telah disepakati bersama yaitu hasil timbangan pihak Pertama dan sifatnya final, apabila ada terjadi trouble baik dari pihak pertama maupun pihak kedua hendaknya dibicarakan untuk mendapatkan angka yang final.
· Bahwa selama proses perhitungan berat, kadar Fe, S, P, Al203 dan persetujuan batu besi yang akan dikirim, para pihak harus mengirimkan wakil-wakilnya untuk menandatangani berita acara dan dokumen yang ada. Bahwa berita acara dan dokumen yang ditanda tangani para pihak merupakan bukti yang mengikat dan untuk melakukan Proses pembayaran berikutnya.
Pasal 4
System Pembayaran
Pihak Pertama dan Pihak Kedua sepakat untuk menentukan Rate yang digunakan dalam kontrak ini adalah US$ 1.0 = Rp. 9.000,00. Pihak Kedua akan melakukan pembayaran harga batu besi kepada Pihak Pertama dengan rumus US$.... x Rp. 9.000,00 = 810.000IDR,- per Metric Ton, untuk kontrak 50.000,-/MT. Sehingga total harga batu besi sebagaimana tercantum pada pasal 2 pada kontrak ini adalah sebesar Rp…………,- terbilang : (……………………………………………..). Dan Pihak Kedua akan melakukan pembayaran harga batu besi kepada Pihak Pertama dengan system pembayaran sebagai berikut :
þ 50% Uang Muka dari total tonase dari kontrak batu besi dikalikan harga F.O.B Mother Vessel, dibayarkan pada saat setelah chek cargo di lokasi stockpile mini di lokasi tambang yang masih berupa bahan dan Pemeriksaan legalitas/kepemilikan serta tanda tangan Kontrak Perjanjian Jual Beli Batu besi antara KE DUA BELAH PIHAK.

þ 40% dari total tonase kontrak batu besi dikalikan harga F.O.B Mother Vessel, dibayarkan oleh Pihak Kedua kepada Pihak Pertama, pada saat batu hasil crusher berada di Stockpile pelabuhan untuk dimuat ke tongkang.

þ 10% Balance Payment / Pelunasan dibayarkan pada saat serah terima semua document (Bill of Lading, Cargo Manifest, Certificate of Sampling and Analysis, Certificate of Weight, SKAB), oleh Pihak Pertama kepada Pihak Kedua dan seluruh Cargo Batu Besi telah dimuat kedalam Mother Vessel.

· Pihak Kedua, setuju untuk mengeluarkan uang keseriusan setelah melakukan visit tambang sebesar 0.5% dari total nilai kontrak yang akan ditanda tangani. Dan uang tersebut akan hangus dengan sendirinya apabila Pihak Kedua tidak melakukan pembayaran berikutnya setelah tandatangan kontrak. Adapun nilai tsb akan diakumulasikan dari nilai kontrak tersebut.

· Yang dimaksud dengan harga F.O.B Mother Vessel dalam perjanjian ini adalah harga batu besi yang sesuai dengan spesifikasi yang telah disepakati dan diterima di dalam Mother Vessel lengkap dengan dokumen barang export, segala bentuk biaya dan retribusi yang timbul dalam proses pemuatan tersebut dan dokumentasi adalah tanggung jawab dari Pihak Pertama.
Pasal 5
Penyelesaian Harga
Para Pihak setuju dan sepakat bahwa tidak ada kenaikan atau pengurangan harga jual beli batu besi yang berhubungan dengan kualitas batu besi dalam kontrak ini, tidak ada bonus, penalty, ataupun reject dalam bentuk rupiah yang berhubungan dengan kualitas batu besi yang diperjual belikan.
Pasal 6
Sengketa
Yang Apabila kemudian hari terjadi sengketa atau tidak adanya kesepakatan antara Kedua Belah Pihak, maka akan dibicarakan secara musyawarah dan mufakat untuk mencari jalan keluar yang adil bagi Kedua Belah Pihak tapi bila jalan keluar yang adil tidak juga ditemukan, maka Pihak Pertama dan Pihak Kedua sepakat untuk mencari jalan keluar yang adil melalui Badan Arbitrasi Nasional Indonesia (BANI) dan apapun yang diputuskan oleh Badan Arbitrasi Nasional Indonesia (BANI) Kedua Belah Pihak harus sepakat untuk menerimanya.
Pasal 7
Lain – Lain
· Mengenai hal–hal yang belum diatur dalam Surat Perjanjian, akan diatur lebih lanjut oleh kedua belah pihak dengan jalan musyawarah dan seluruh keputusan untuk hal tersebut akan dibuat secara tertulis yang merupakan lampiran yang tidak terpisahkan dari Surat Perjanjian ini, serta dipatuhi dan dilaksanakan oleh kedua belah pihak.
· Apabila Pihak Kedua setelah melakukan pembayaran DP 50% pada saat tanda tangan Kontrak dengan jangka waktu 45 (empat puluh lima) hari sesuai yang ditentukan tidak melakukan pembayaran berikutnya, maka Pihak Kedua akan dikenakan Penalty berupa penghangusan/pemotongan DP yang sudah diterima oleh Pihak Pertama.
· Namun sebelum melakukan Penalty Pihak Pertama akan mengirimkan Surat Teguran kepada Pihak Kedua, jika masih diabaikan maka Pihak Pertama akan membatalkan Perjanjian ini secara secara sepihak.
Pasal 8
Penutup
Demikian Kontrak Jual beli iron ore ini dibuat dengan sungguh-sungguh tanpa ada paksaan dari pihak manapun juga, ditandatangani dan dibubuhi materai secukupnya, dibuat rangkap dua yang masing-masing pihak memegang satu rangkap, yang setiap rangkapnya mempunyai kekuatan hukum yang sama.

That in connection with the matters mentioned above, the parties agree to mutually bind themselves to one another to make the sale and purchase contract iron Ore with the provisions and conditions as follows:
Article 1
Purpose and Objectives
First Party willing and able to sell granite products in the field to the Second Party as the Second Party is willing and able to buy any products from iron ore CV. SUMBER MINERAL ASIA
Article 2
Quantity, Quality and Price
Quantity, quality and price of iron ore that has been agreed upon and accepted by the Second Party is as follows:
Chemical Specifications (on dry basis);
Fe: 61% base / max, refusal to Fe below 60%.
Physical size, size: 0 s / d 5 cm.
• Contract Period: begins on the date ... .. June 2011.
• Iron Ore Origin: South Kalimantan Provensi
• Volume: 50.000, - MT.
• Price: FOB Mother Vessel 800.000IDR/MT.

With the record, that the Quantity and Quality of Iron Ore mentioned above have been analyzed by an Independent surveyor (SGS) which have been designated and agreed upon by the parties.
Article 3
Determination of Quality and Quantity
• Determination of the amount of iron ore quality is agreed upon the Parties of the recapitulation of the scales in the stockpile that has been agreed that the scales of the first and final character, if any trouble occurs from either the first or second party should be discussed to get the final figures.
• That during the process of calculating weight, levels of Fe, S, P, Al203 and iron ore approval to be sent, the parties should send the vice-wakinya to sign the minutes and documents. That the minutes and documents signed by the parties is a testament to the binding and to make the next payment process.
Article 4
Payment System
First Party and Second Party have agreed to determine the rate used in this contract is U.S. $ 1.0 = Rp. 9000.00. Second Party will pay the price of granite to the First Party with a formula of U.S. $.... x Rp. 9000.00 = 800.000IDR, - per Metric Ton, for contracts 50,000, -/MT. And the Second Party will pay the price of granite to the First Party with the payment system as follows:
þ 50% Down Payment of the total tonnage of the contract price multiplied by the iron ore FOB Mother Vessel, payable at the time after check cargo at the location of the mine stockpile at the mine site is still in the form of materials and examination of legality / ownership and the signature of the Sale and Purchase Contract between the iron ore TO TWO WHEREOF.

þ 10% Balance Payment / Settlement paid upon handing over all documents (Bill of Lading, Cargo Manifest, Certificate of Sampling and Analysis, Certificate of Weight, SKAB), by the First Party to Second Party and the entire cargo had been loaded into the Iron Ore Mother Vessel.

• Second Party, agree to spend money on the seriousness of the mine after a visit of 0.5% of the total contract value to be signed. And the money will be forfeited by itself when the Second Party does not make the next payment after the contract signature. The TSB will be accumulated value of the contract value.

• What is meant by price FOB Mother Vessel in this agreement is the price of iron ore in accordance with the agreed specifications and accepted in Mother Vessel complete with document export goods, any form of fees and charges incurred in the loading process and the documentation is the responsibility of the First Party.

Settlement Prices
The Parties agree and agree that there is no increase or reduction in purchase price of granite-related quality of iron ore in this contract, no bonus, penalty, or reject in rupiah-related quality of traded iron ore.
Article 6
Dispute
Dispute
If later the dispute or the absence of agreement between the parties, it will be discussed by deliberation and consensus to seek a fair solution for both parties but if the way out just is not found, then the First Party and Second Party have agreed to find a fair way out through the Indonesian National Arbitration Board (BANI), and anything that was decided by the Indonesian National Arbitration Board (BANI) Both sides must agree to accept it.
Article 7
Other – Other
• Regarding the matters that have not been regulated in the Letter Agreement, will be further stipulated by both parties by way of deliberation and the decision for it to be made in writing which is an integral attachment of the Letter Agreement, and complied with and implemented by both parties.
• If the Second Party after the payment of 50% DP at the time of contract signature with a period of 45 (forty five) days according to specified does not make another payment, then the Second Party will be subject to Penalty DP bleaching or cuts that have been received by the First Party .
• But before doing Penalty First Party will send a warning letter to the Second Party, if it still ignored the First Party will cancel this Agreement unilaterally.
